DEWAN HOUSING

Application by the Reserve Bank of India for initiation of corporate insolvency resolution process against Dewan Housing Finance Corporation Limited and commencement of interim moratorium

This is to inform you that today (November 29, 2019) the Reserve Bank of India filed an application for initiation of corporate insolvency resolution process against Dewan Housing Finance Corporation Limited under Section 227 read with clause (zk) of sub-section (2) of Section 239 of the Insolvency and Bankruptcy Code, 2016 read with Rules 5 and 6 of the Insolvency and Bankruptcy (Insolvency and Liquidation Proceedings of Financial Service Providers and Application to Adjudication Authority) Rules, 2019 ("FSP Insolvency Rules").

As per Rule 5(b)(i) of the FSP Insolvency Rules, an interim moratorium shall commence on and from the date of filing of the application till its admission or rejection. The explanation to Rule 5(b) provides that "interim moratorium" shall have the effect of the provisions of sub-sections (1), (2) and (3) of Section 14. Sub-sections (1), (2) and (3) of Section 14 have been reproduced below:

"(1) Subject to provisions of sub-sections (2) and (3),. on the insolvency commencement date, the Adjudicating Authority shall by order declare moratorium for prohibiting all of the following, namely:

(a) the institution of suits or continuation of pending suits or proceedings against the corporate debtor including execution of any judgement, decree or order in any court of law, tribunal, arbitration panel or other authority;

(b)transferring, encumbering, alienating or disposing off by the corporate debtor any of its assets or any legal right or beneficial interest therein;

(c) any action to foreclose, recover or enforce any security interest created by the corporate debtor in respect of its property including any action under the Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act 2002(54 of 2002);

(d) the recovery of any property by an owner or lessor where such property is occupied by or in the possession of the corporate debtor.

(2) The supply of essential goods or services to the corporate debtor as may be specified shall not be terminated or suspended or interrupted during moratorium period.

(3) The provisions of sub-section (1) shall not apply to -
(a) such transaction as may be notified by the Central Government in consultation with any financial regulator;
(b) a surety in a contract of guarantee to a corporate debtor."


GRANULES

Receipt of Establishment Inspection Report (Effi) from US FDA -Reg.

Please be informed that, US FDA has issued Establishment Inspection Rep011 (EIR) for Granules Pharmaceuticals, Inc. facility, a wholly-owned foreign subsidiary of the Company located in Chantilly, Virginia, USA.

This facility was inspected by US FDA in August 2019 and there were two (2) minor observations during the inspection. The company has responded to the observations within the stipulatedtimeframe.

INFOSYS

Services Australia selects Infosys to Digitize Welfare Entitlements

Infosys (NYSE: INFY), a global leader in next-generation digital services and consulting, has today announced an agreement with the Australian Federal Government’s Services Australia to transform the entitlement calculation engine for the nation’s welfare system

The project will enable Services Australia to more quickly implement policy changes for the benefit of Australians without disrupting services and deliver operational cost savings. The Welfare Payment Infrastructure Transformation (WPIT) programme will replace a significant portion of Centrelink’s 30- year-old platform, modernising the way Services Australia calculates entitlements for Australians needing government support.

Infosys was selected by Services Australia following a comprehensive Competitive Dialogue phase which demonstrated a rigorous risk-mitigation strategy to deliver the innovative new solution. The solution will future-proof Australia’s welfare entitlements system through a market-proven, highly agile and configurable Pega platform.

The Phase 1 agreement is for Infosys to create a Proof of Design and is expected to complete mid2020. Subject to further approval, Phase 2 of the project will encompass the build, implementation, and support for the new ECE. The Infosys Australia technical team will service the project, led by its expanding Canberra office.

According to Services Australia, this will be one of the world’s largest social welfare ICT system transformations, designed to:

• Provide customers with faster, and more connected digital services
• Give staff a modern ICT platform that makes it easier for them to do their jobs, and
• Position the Department to meet future policy needs of government

The ECE platform will enable Services Australia to respond in a more efficient and agile manner to changes in policies and regulations. Infosys will also establish as a physical space in the Canberra office to enable Services Australia and its policy partners to collaborate and develop innovative ways to improve decision making and speed up time to market for policy implementation.

Sushila Devi Singhania, a Promoter Group person. Mrs. Sushila Devi Singhania also informed through enclosed letter dated 2g.ll.20Ig about her disposal. This acquisition tantamounts to transfer inter se between Smt. Sushila Devi Singhania, a promoter Group person to M/s Yadu International Ltd. a promoter of JKC

NTPC

In line with the Corporate Disclosure requirements, we wish to inform that 250 MW unit of Barauni Thermal Power Station has been added to Installed Capacity of NTPC on successful completion of Trial Operation.

With this, the total installed capacity ofNTPC and NTPC group has become 48895 MW and 57356 MW respectively.

ONMOBILE GLOBAL

This is an update of the intimation dated September 14, 2019 (the "September 14th Intimation") by OnMobile Systems Inc. ("OMSI"), the promoter of OnMobile Global Limited ("ONMOBILE"), to ONMOBILE regarding the sale of 19,000,000 equity shares of ONMOBILE (the "Sale Shares") at a price ranging from INR 75.50 per Sale Share to INR 78.00 per Sale Share (the "Sale Price Range", and such sale of the Sale Shares within the Sale Price Range, the "Sale").

As intimated to you in the September 14th Intimation, OMSI entered into a share purchase agreement dated September 13, 2019 (the "SPA Date") with Jump Networks Limited ("JUMPNET") for the sale of the Shares within the Sale Price Range (the "Share Purchase Agreement"). The Sale, subject to the conditions set out in the Share Purchase Agreement, was expected to be conducted within 75 days from the SPA Date.

Now, OMSI wishes to inform you that OMSI and JUMPNET have mutually agreed to extend the time period, within which the Sale is expected to be conducted, to December 20, 2019. The Sale, if conducted, shall be undertaken within the Sale Price Range and shall be subject to the conditions set out in the Share Purchase Agreement.

SHOPPERS STOP

Pursuant to provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please be informed that the Company has on November 29, 2019, opened its "Shoppers Stop" store at Mani Square, Kolkata. With this, the Company has now 86 "Shoppers Stop" stores (including five airport stores) under its operations.

ZUARI AGRO

This is further to our letter dated 16th October, 2019 informing shutdown of NPK Plant of the Company at Zuarinagar, Goa.

We have to inform you that one of our NPK Plant has resumed production effective November 29, 2019.
