Autoline Industries Limited enters into an Agreement with Kinetic Green Energy and Power Solutions Limited for E-cycles.

The Company is exploring various business opportunities to accelerate the growth which include introducing new products, developing new customers, launching own products etc. and as informed time to time on “Electronic Cycle” (“E-Cycle”) Project of the Company, the Company, with the technical support of its wholly owned subsidiary Autoline Design Software Ltd. (“ADSL”), has started production of E-cycles.

We are pleased to inform that today the Company has entered into an Agreement with Kinetic Green Energy and Power Solutions Limited, Pune (“Kinetic”) and according to the terms of agreement, the Company will manufacture the E-cycle and Kinetic will sell the same in the market through its PAN India dealership network.

BASF to double production capacity for polymer dispersions in Dahej, India

We wish to inform you that the Company plans to double its capacity for polymer dispersions with a new production line at its site in Dahej, Gujarat. Through this investment, the Company aims to provide a reliable supply of high-quality dispersion solutions to customers in the fast-growing Indian and South Asian markets.

The Company had started the production of polymer dispersions in Dahej, Gujarat in October 2014 and currently operates one production line at the plant. The proposed investment will expand production capacity of dispersions for the construction, coatings, paper and adhesive markets and the enhanced production line will serve growing demand in South Asia, with operations beginning by 2021.

The Company wishes to address the resignation of three directors: (a) Mr. Sunil Sharma (Independent Director) dated November 24, 2019; (b) Mr. Subodh Kumar (Non-Independent Director) dated November 22, 2019, and (c) Ms. Neharika Vohra (Independent Director) dated November 22,2019. The Company in keeping with good governance is disclosing the reasons for the resignation of the Non-Independent Director as well.

Mr. Sunil Sharma (Independent Director) in his resignation letter dated November 24,2019 has informed that subsequent to sale of shares by the promoter group, and reconstitution of the Board, he has tendered his resignation.

For other directors, Ms. Subodh Kumar (Non-Independent Director) and Ms. Neharika Vora (Independent Director) have both given certain reasons, which have been considered by the Board of Directors. These are detailed in the Annexure 1 along with the comments of the Company.

The Company, while accepting the resignations and intimating the exchanges about the same, has discussed the same in detail in the Board meeting held on November 25, 2019. The Board of Directors have noted that all of the issues raised by the resigning directors have been duly discussed, deliberated and acted upon from time to time in the previous committee/ board meetings in which the said directors were also present. All these have been duly disclosed in the public domain in Financial statements and investor calls which are available on the Company website.
